These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DEWIN Vietnam, operated under the Dolphin Service brand and incorporated in the State of Delaware, United States ("Company," "we," "us," or "our").

By accessing or using our website at dewinvietnam.com (the "Site") or engaging our manufacturing sourcing services (the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Site or Services.

If you are using the Site or Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to that entity.

2. Description of Services

DEWIN Vietnam is a B2B manufacturing sourcing platform that connects international buyers with vetted, audited manufacturing factories in Vietnam. Our Services include but are not limited to:

• Supplier Matching: Connecting you with pre-audited factories specializing in CNC machining, sheet metal fabrication, aluminum die casting, injection molding, powder metallurgy, and related manufacturing processes.
• Factory Auditing: On-site inspection and quality verification of manufacturing facilities in Vietnam.
• Quality Assurance: In-process quality management, inspection reporting, and compliance verification.
• Sourcing Consultation: Technical guidance on materials, manufacturing processes, tolerances, and specifications.
• Logistics Coordination: End-to-end supply chain support including shipping and export documentation.
• Informational Resources: Industry reports, ebooks, supplier directories, and manufacturing insights published on our Site.

3. User Accounts and Communications

Our Site currently does not require user account registration. You may interact with us through contact forms, sourcing inquiry forms, newsletter subscriptions, and direct email correspondence.

When submitting inquiries or requests through our Site, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any project details you share with us prior to a formal engagement agreement.

4. User Obligations

By using our Site and Services, you agree to:

• Use the Site and Services only for lawful purposes and in accordance with these Terms.
• Provide accurate and truthful information in all forms, inquiries, and communications.
• Not attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems.
• Not use automated systems, bots, or scraping tools to access or collect data from the Site without our express written permission.
• Not upload, transmit, or distribute any viruses, malware, or other harmful code.
• Not impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Not interfere with the proper functioning of the Site or disrupt other users' access.
• Comply with all applicable local, national, and international laws and regulations, including export control and trade sanctions laws.

5. Sourcing Engagements and Quotes

Quotes, estimates, and pricing information provided through our Site or in response to sourcing inquiries are preliminary and non-binding unless confirmed in a separate written agreement (such as a purchase order, sourcing agreement, or formal quotation acceptance).

Final pricing, lead times, minimum order quantities, and terms of production are subject to confirmation after detailed engineering review, factory availability assessment, and material verification. All production engagements are governed by separate commercial agreements executed between you and DEWIN Vietnam.

DEWIN Vietnam acts as a sourcing intermediary between buyers and manufacturing partners. While we rigorously vet and audit our factory network, final manufacturing is performed by independent third-party factories. Specific warranties and guarantees related to manufactured goods will be defined in individual project agreements.

6. Intellectual Property

6.1 Our Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, images, photographs, factory audit reports, supplier profiles, ebooks, data compilations, software, and the overall design and layout — is the property of DEWIN Vietnam (Dolphin Service) or its licensors and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.

The DEWIN Vietnam name, Dolphin Service brand, associated logos, and product/service names are trademarks of the Company. You may not use these marks without our prior written consent. Patents referenced on this Site (US 11,432,198 B2; US 10,984,532 B1; US D912,143 S) are the property of the Company.

6.2 Your Intellectual Property

Technical drawings, CAD files, specifications, and other proprietary materials you submit to us remain your intellectual property. By submitting these materials through our Site or Services, you grant DEWIN Vietnam a limited, non-exclusive license to use such materials solely for the purpose of fulfilling your sourcing request, obtaining quotes from manufacturing partners, and facilitating production. We implement confidentiality protections with our factory partners, and you may request a mutual Non-Disclosure Agreement (NDA) prior to sharing sensitive technical information.

7. Confidentiality

We understand the sensitive nature of manufacturing specifications, pricing, and supply chain information. DEWIN Vietnam treats all client project information as confidential and will not disclose it to parties other than the specific manufacturing partners involved in your project, unless required by law or with your written consent.

For projects requiring enhanced confidentiality protections, we offer formal Non-Disclosure Agreements (NDAs). Please contact us to request an NDA before submitting sensitive technical information.

8. Disclaimers and Limitation of Liability

8.1 Site Disclaimer

THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS PROVIDED HEREIN ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

8.2 Manufacturing Disclaimer

While DEWIN Vietnam rigorously audits and monitors its factory partners, we do not directly manufacture goods. Manufacturing is performed by independent third-party factories. We make no guarantees regarding the ultimate quality, timeliness, or specifications of manufactured products beyond what is explicitly stated in individual project agreements.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEWIN VIETNAM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless DEWIN Vietnam, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any intellectual property or other rights of any third party; or (e) any content or materials you submit through the Site.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with the arbitration conducted in Wilmington, Delaware.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

11. Export Compliance and Trade Regulations

You acknowledge that the Services may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and trade sanctions administered by the Office of Foreign Assets Control (OFAC). You agree that you will not use the Site or Services in violation of any applicable export control or sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions, and that you are not on any U.S. government restricted party list.

12. Third-Party Links and Services

Our Site may contain links to third-party websites, platforms, or services that are not owned or controlled by DEWIN Vietnam. We are not responsible for the content, privacy policies, or practices of any third-party sites. Inclusion of any link does not imply endorsement. You access third-party sites at your own risk and should review their terms and privacy policies independently.

13. Modifications to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site or Services after the effective date of any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

14. Termination

We may suspend or terminate your access to the Site and Services at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy and any separate commercial agreements executed between you and DEWIN Vietnam, constitute the entire agreement between you and the Company regarding your use of the Site and Services. These Terms supersede all prior negotiations, representations, and agreements relating to the same subject matter.
